1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and JR Nexus Solutions ("Company", "we", "our", "us"), operating the JRGenix platform at jrgenix.com ("Service").

By accessing or using the Service, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years of age to use this Service. By using the Service you represent and warrant that you have the legal capacity to enter into a binding agreement.

2. Description of Service

JRGenix is a software-as-a-service platform providing four primary tools:

  • Website Generator — automated generation of complete affiliate / business websites with SEO, structured data, and content humanization.
  • AI Email Marketing — AI-assisted creation of email sequences (welcome series, promotional, follow-up).
  • Website Builder — drag-and-drop visual editor for building business pages.
  • Funnel Builder — multi-step conversion funnel and upsell-path builder.

The Service is delivered as a hosted web application accessible via standard web browsers. Some features may require JavaScript, modern browser versions, or third-party authentication.

3. Account Registration & Security

To access certain features you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@jrgenix.com of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have violated these Terms or pose a security risk.

4. Subscription, Billing & Renewal

The Service is offered on a subscription basis. Subscription fees, billing cycles, and feature limits are described on our pricing page and at the point of purchase.

Payment processing: All payments are processed through Stripe, Inc. ("Stripe"), a PCI-DSS Level 1 compliant payment processor. By submitting payment, you agree to Stripe's terms of service. We do not store full payment card details on our servers.

Auto-renewal: Unless you cancel before the end of your current billing period, your subscription will automatically renew at the then-current published price. You may cancel auto- renewal at any time from your account dashboard.

Pricing changes: We may revise subscription pricing from time to time. Existing subscribers will be notified by email at least 30 days before any price change takes effect on their subscription.

Refunds: Refund eligibility is governed by our separate Refund Policy, which is incorporated into these Terms by reference.

Taxes: Subscription fees are exclusive of any taxes, levies, or duties imposed by taxing authorities, including UAE Value Added Tax (VAT) where applicable. You are responsible for payment of all such taxes.

5. User Content & Generated Output

The Service allows you to input data ("User Content") — including but not limited to product URLs, affiliate links, email content, page designs, and customer data — and generates output ("Generated Output") such as websites, email sequences, and funnel pages.

Ownership of User Content: You retain all rights to your User Content. By submitting User Content you grant us a worldwide, non-exclusive, royalty-free license to host, process, and use User Content solely for the purpose of operating the Service for you.

Ownership of Generated Output: You own the Generated Output created using the Service, subject to any third-party rights (e.g., images licensed from stock libraries, AI-model output usage rights). You are solely responsible for ensuring Generated Output complies with applicable laws and does not infringe third-party rights.

Accuracy: Generated Output may include AI-generated content. While we apply quality controls, AI output may contain inaccuracies. You are responsible for reviewing and validating Generated Output before publication or commercial use.

6. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable law, regulation, or third-party right (including intellectual property, privacy, or contractual rights);
  • Generate or distribute content that is fraudulent, defamatory, obscene, hateful, harassing, or that promotes violence or discrimination;
  • Generate content related to prohibited industries under UAE law (gambling, certain pharmaceuticals, illegal goods, content offensive to UAE cultural / religious values);
  • Generate or promote misleading medical, financial, or legal claims;
  • Bypass or attempt to circumvent any feature limits, rate limits, or access controls;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service;
  • Use the Service to send unsolicited bulk email (spam) in violation of CAN-SPAM, GDPR, UAE Anti-Spam regulations, or similar laws;
  • Resell, sublicense, or redistribute the Service without our prior written consent.

We reserve the right to suspend accounts and remove content that we reasonably believe violates this Acceptable Use Policy.

7. Intellectual Property

The Service, including all software, designs, trademarks, logos, and content (excluding User Content and Generated Output), is the exclusive property of JR Nexus Solutions and is protected by intellectual property laws of the United Arab Emirates and applicable international treaties.

The "JRGenix" name and logo are trademarks of JR Nexus Solutions. You may not use these marks without our prior written consent.

8. Third-Party Services

The Service integrates with or relies on the following third-party services. Your use of these services is governed by the respective provider's terms:

We are not responsible for the availability, accuracy, or content of third-party services.

9. Disclaimers

Service provided "as is".To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation.

We do not warrant that the Service will be error-free, secure, or uninterrupted, nor that any defects will be corrected. We do not warrant any specific business outcome — including but not limited to search engine rankings, conversion rates, customer acquisition, or revenue — from use of the Service or Generated Output.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall JR Nexus Solutions, its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to loss of profits, revenue, data, or business opportunity — arising out of or relating to your use of the Service.

Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless JR Nexus Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your User Content or Generated Output; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) your use of the Service in connection with any business or commercial activity.

12. Termination

You may terminate your account at any time by cancelling your subscription from your account dashboard or by contacting support@jrgenix.com.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we are required to do so by law or by any governmental or regulatory authority.

Upon termination, your right to use the Service will cease immediately. We will retain your data for a limited period following termination as described in our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Emirate in which JR Nexus Solutions is registered.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within thirty (30) days, it shall be referred to and finally resolved by the competent courts of the United Arab Emirates.

Nothing in this section limits either party's right to seek urgent injunctive or equitable relief from a court of competent jurisdiction.

14. Changes to These Terms

We may revise these Terms at any time by updating this page. The revised Terms take effect on the date stated at the top of this page. Your continued use of the Service after a revision constitutes acceptance of the revised Terms.

For material changes, we will provide notice by email to the address associated with your account at least 14 days in advance of the change taking effect.
